1. 协议的接受与变更 / Acceptance & Changes

本《用户服务协议》（“本协议”）是您与 【运营方法律主体全称】（“我们”）之间就使用 rtrade 桌面客户端、Android 客户端及 stock.avania.cn 相关服务（合称“本服务”）所订立的协议。请您在使用前认真阅读，特别是以加粗标识的免责、责任限制及争议解决条款。 您注册账户或使用本服务，即表示您已阅读、理解并同意本协议及《隐私政策》。

我们可能修订本协议，修订后将以应用内通知或网站公告方式发布。若您不同意修订内容，应停止使用；继续使用即视为接受。

These Terms of Service (“Terms”) form an agreement between you and 【full legal name of operator】 (“we”, “us”) governing your use of the rtrade desktop client, Android client, and stock.avania.cn services (the “Service”). Please read carefully, especially the bolded disclaimer, liability‑limitation, and dispute‑resolution clauses. By registering or using the Service, you confirm you have read, understood, and agree to these Terms and the Privacy Policy.

We may amend these Terms and will publish changes via in‑app notice or website announcement. If you disagree, you must stop using the Service; continued use constitutes acceptance.

2. 定义 / Definitions

English — “User/you” means the natural person who registers and uses the Service; “Member” means a user who purchases a paid tier (Pro / Max, etc.); “Content” means the market data, indicators, signals, AI output, and other information provided by the Service; “Your Data” means watchlists, holdings, journal entries, annotations, conversations, and other data you enter.

3. 服务内容与性质（重要）/ Nature of the Service (Important)

• 本服务是一款行情分析与交易记录辅助工具，提供 A 股行情展示、技术指标与形态识别（如背离、买点、谐波等）、自选跟踪、持仓与交易日志、策略扫描与回测、AI 问答辅助等功能。
• 本服务不是证券经纪商、投资咨询机构或资产管理人：
  • 不接入任何券商或交易所交易通道，不代您下单、撮合或结算；
  • 不提供任何投资建议、荐股或买卖指令；
  • 所有行情、指标、信号与 AI 输出仅供参考，不构成投资建议或承诺。
• 您的一切投资决策与交易行为由您独立判断、自主作出并自行承担全部后果。

• The Service is an analysis and trade‑recording tool offering A‑share quote display, technical indicators and pattern detection (divergence, buy points, harmonics, etc.), watchlist tracking, holdings and trade journaling, strategy scanning and backtesting, and AI‑assisted Q&A.
• The Service is not a broker, investment adviser, or asset manager:
  • it does not connect to any broker/exchange trading channel and does not place, match, or settle orders for you;
  • it does not provide investment advice, stock recommendations, or buy/sell instructions;
  • all quotes, indicators, signals, and AI output are for reference only and do not constitute advice or any guarantee.
• All investment decisions and trades are made independently by you, and you bear all consequences.

4. 账户注册与安全 / Account Registration & Security

• 您应具备完全民事行为能力且年满 18 周岁，并保证注册信息真实、准确。
• 每位用户应自行妥善保管账户与密码。因您主动开启“自动登录”而在本地保存凭据，或因您泄露、转借账户所导致的损失，由您自行承担（详见《隐私政策》第 2 节的安全提示）。
• 账户项下的一切操作视为您本人作出。如发现账户被盗用或存在安全漏洞，请立即通知我们。
• 您不得转让、出租、出借或售卖账户。

• You must have full civil capacity and be at least 18 years old, and you warrant that your registration information is true and accurate.
• You are responsible for safeguarding your account and password. Losses arising from your enabling “auto‑login” (which stores credentials locally) or from your disclosing/lending the account are borne by you (see Privacy Policy §2 security notice).
• All activity under the account is deemed yours. Notify us immediately of any compromise or vulnerability.
• You may not transfer, rent, lend, or sell your account.

5. 会员服务与付费 / Membership & Payment

• 本服务部分功能面向付费会员（如 Pro / Max 等级或 VIP 等级）开放，具体权益、价格与计费周期以购买页面展示为准。
• AI 助手用量限制：AI 功能按等级设有每日次数、每月预算、并发数等配额限制，超出后将受限直至次日/次月重置。
• 付费、续费与退款：付款方式、自动续费规则及退款政策以购买时的具体条款为准。【退款政策需法律与业务确认后填写：例如是否支持 7 日无理由、已使用服务的扣减规则等。】
• 我们可能调整会员权益或价格，调整前将以适当方式通知；调整不影响您已购买且未到期的服务。

• Some features are available only to paying Members (e.g. Pro / Max or VIP tiers); the specific entitlements, prices, and billing cycles are as shown on the purchase page.
• AI usage limits: AI features are subject to per‑tier quotas (daily message counts, monthly budget, concurrency); once exceeded, access is limited until the next day/month reset.
• Payment, renewal & refunds: payment methods, auto‑renewal rules, and the refund policy are as set out in the specific terms at purchase. 【Refund policy to be filled in after legal/business confirmation — e.g. whether a 7‑day no‑reason refund applies and how used services are deducted.】
• We may adjust entitlements or prices with prior notice; adjustments do not affect services already purchased and not yet expired.

6. 用户行为规范 / Acceptable Use

中文 — 使用本服务，您不得：

• 违反法律法规，或利用本服务从事市场操纵、内幕交易、洗钱等违法活动；
• 通过爬虫、自动化脚本等手段批量抓取、导出或转售本服务的行情/数据/内容；
• 对本服务进行逆向工程、反编译、破解或绕过版本/权限/计费机制；
• 攻击、干扰或试图未授权访问本服务及其服务器、数据库；
• 上传或输入违法、侵权、含恶意代码的内容；
• 以可能损害其他用户或我们合法权益的任何方式使用本服务。

我们有权对违规账户采取警告、限制功能、暂停或终止服务等措施。

English — You must not:

• violate laws, or use the Service for market manipulation, insider trading, money laundering, or other illegal activity;
• scrape, bulk‑export, or resell the Service’s market data/content via crawlers or automated scripts;
• reverse‑engineer, decompile, crack, or circumvent version/permission/billing mechanisms;
• attack, interfere with, or attempt unauthorized access to the Service, its servers, or databases;
• upload or input illegal, infringing, or malicious content;
• use the Service in any way that may harm other users or our legitimate interests.

We may warn, restrict, suspend, or terminate accounts that violate these rules.

7. 知识产权 / Intellectual Property

• 本服务及其软件、界面、商标、文档、自研指标与算法等的知识产权归我们或相应权利人所有。
• 行情与基本面数据来源于第三方数据提供商（如智图 zhituapi），其权利归原始提供方所有；您仅获得在本服务内查看的有限许可，不得另行复制、传播或商用。
• 您的数据归您所有。您授予我们为提供本服务所必需的范围内处理您的数据的许可（如展示、计算盈亏、生成 AI 回复）。

• IP in the Service, including software, UI, trademarks, documentation, and proprietary indicators/algorithms, belongs to us or the respective rights holders.
• Market and fundamental data originate from third‑party providers (e.g. zhituapi) and remain theirs; you receive only a limited license to view it within the Service and may not copy, distribute, or commercialize it.
• Your Data belongs to you. You grant us a license to process Your Data only as necessary to provide the Service (e.g. display, P&L computation, generating AI replies).

8. AI 功能特别说明 / AI Feature Notice

• AI 助手由第三方大模型（DeepSeek）驱动，其输出基于概率生成，可能存在不准确、过时、片面或错误，不构成投资建议，请您独立核实后再行参考。
• 使用 AI 助手时，您的对话内容将被传输至第三方进行处理（详见《隐私政策》第 1.5、第 4 节）。请勿输入敏感个人信息、账号密码或商业秘密。
• 您应对自己输入的内容负责，不得借助 AI 功能生成或传播违法、侵权内容。

• The AI assistant is powered by a third‑party model (DeepSeek). Its output is probabilistic and may be inaccurate, outdated, one‑sided, or wrong; it is not investment advice. Verify independently before relying on it.
• When you use the assistant, your conversation content is transmitted to a third party for processing (see Privacy Policy §1.5, §4). Do not enter sensitive personal information, credentials, or trade secrets.
• You are responsible for what you input and must not use AI features to generate or spread illegal or infringing content.

9. 风险揭示与免责声明 / Risk Disclosure & Disclaimer

• 投资有风险，入市需谨慎。 证券市场价格波动受多种因素影响，过往表现不代表未来收益。本服务提供的任何分析、信号、回测结果或 AI 输出均不保证准确、完整或盈利，亦不构成任何投资建议或收益承诺。
• 本服务展示的行情数据来自第三方，可能存在延迟、中断或错误，我们不对数据的及时性与准确性作出保证。
• 您应知悉并遵守 A 股交易规则（如 T+1 交收、各板块涨跌幅限制、交易时段等），相关规则以交易所与监管规定为准。
• 在法律允许的最大范围内，因您依据本服务内容作出的投资决策所产生的任何盈亏与后果，由您自行承担，我们不承担责任。

• Investment carries risk; enter the market with caution. Securities prices are influenced by many factors and past performance does not indicate future returns. Any analysis, signal, backtest result, or AI output provided by the Service is not guaranteed to be accurate, complete, or profitable, and constitutes neither advice nor a guarantee of returns.
• Market data shown originates from third parties and may be delayed, interrupted, or erroneous; we do not warrant its timeliness or accuracy.
• You must understand and comply with A‑share trading rules (e.g. T+1 settlement, per‑board price‑limit caps, trading sessions), as set by the exchanges and regulators.
• To the maximum extent permitted by law, you bear all profit/loss and consequences of investment decisions made in reliance on the Service, and we are not liable for them.

10. 责任限制 / Limitation of Liability

• 本服务按“现状”和“现有”基础提供。在法律允许的最大范围内，我们不对服务的不间断、无错误、满足特定目的作出明示或默示担保。
• 在法律允许的最大范围内，对于因使用或无法使用本服务而产生的间接、偶然、惩罚性或后果性损失（包括但不限于投资损失、利润损失、数据丢失），我们不承担责任。
• 如依法我们须承担责任，则赔偿总额以您在产生争议前 12 个月内就本服务向我们实际支付的费用总额为限。
• 因不可抗力、第三方数据/服务中断、网络故障等非我们可合理控制的原因导致的服务异常，我们不承担责任，但将尽合理努力恢复。

• The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we make no express or implied warranty of uninterrupted, error‑free operation or fitness for a particular purpose.
• To the maximum extent permitted by law, we are not liable for indirect, incidental, punitive, or consequential damages (including investment losses, lost profits, or data loss) arising from use of or inability to use the Service.
• Where we are nonetheless liable by law, our aggregate liability is capped at the total fees you actually paid us for the Service in the 12 months preceding the dispute.
• We are not liable for service disruptions caused by force majeure, third‑party data/service outages, network failures, or other causes beyond our reasonable control, but will make reasonable efforts to restore service.

11. 服务变更、中断与账户注销 / Changes, Suspension & Deregistration

• 我们可能因业务调整、技术升级、合规要求等变更或中止部分/全部服务，重大变更将提前通知。
• 您可随时停止使用并申请注销账户；注销后我们将按《隐私政策》删除或匿名化您的个人信息（法律要求保留者除外）。
• 若您严重违反本协议或法律法规，我们有权暂停或终止您的账户，已支付且未消耗的费用按相关退款规则处理。
• 账户被禁用/暂停的效力实时生效（服务端会即时拒绝相应请求）。

• We may change or discontinue part or all of the Service for business, technical, or compliance reasons, with prior notice for material changes.
• You may stop using the Service and request deregistration at any time; upon deregistration we delete or anonymize your personal information per the Privacy Policy (except where law requires retention).
• If you materially breach these Terms or the law, we may suspend or terminate your account; paid but unused fees are handled per the applicable refund rules.
• Account disabling/suspension takes effect in real time (the server immediately rejects corresponding requests).

12. 法律适用与争议解决 / Governing Law & Disputes

• 本协议的订立、效力、解释及争议解决，均适用中华人民共和国法律（不含港澳台地区法律）。
• 因本协议产生的争议，双方应先友好协商；协商不成的，任一方可向**【运营方住所地有管辖权的人民法院】**提起诉讼。【若拟采用仲裁，须在此明确仲裁机构与地点。】

• These Terms and any dispute are governed by the laws of the People’s Republic of China (excluding Hong Kong, Macau, and Taiwan).
• Disputes shall first be resolved through friendly negotiation; failing that, either party may bring suit before 【the competent People’s Court at the operator’s domicile】. 【If arbitration is preferred, specify the institution and seat here.】

13. 其他 / Miscellaneous

• 本协议中文版本为准；英文版本仅供参考，如有歧义以中文为准。
• 本协议部分条款被认定无效的，不影响其余条款的效力。
• 我们未行使或迟延行使本协议项下权利，不构成放弃。
• 本协议与《隐私政策》共同构成您与我们之间的完整协议。

• The Chinese version of these Terms prevails; the English version is for reference only and the Chinese controls in case of discrepancy.
• If any clause is held invalid, the remaining clauses remain effective.
• Our failure or delay to exercise any right does not constitute a waiver.
• These Terms together with the Privacy Policy constitute the entire agreement between you and us.
